Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the Battlix website at battlix.com and the products and services offered by Battlix (collectively, the "Services"). By accessing the Services, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms incorporate by reference our Privacy Policy, Shipping & Delivery Policy, and Returns & Exchange Policy, each of which is available on battlix.com.

Eligibility

You may use the Services only if you are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater, and have the legal capacity to enter into a binding contract. By using the Services, you represent and warrant that you meet these requirements and that your use of the Services does not violate any law applicable to you.

Some Battlix products, including the Padawan Bundle, are designed to be shared between adults and children. In those cases, the purchase, account creation, and account management must be carried out by an adult.

Account Registration

To place certain orders or access certain features, you may need to create a Battlix account. When you do, you agree to:

Provide accurate, current, and complete information;
Maintain and promptly update your account information;
Keep your password confidential and secure;
Accept responsibility for all activity that occurs under your account;
Notify us immediately at contact@battlix.com if you suspect unauthorized access.

We may suspend or terminate your account if we believe you have violated these Terms or engaged in fraudulent or unlawful activity.

Products, Descriptions & Pricing

We work hard to present our products as accurately as possible. However:

Product images, blade colors, and hilt finishes may appear slightly different on your screen due to display calibration, lighting, and photography. The illuminated colors of pixel-based blades, including Xenopixel, SN Pixel, and Proffie, may render differently across devices.
Soundboard fonts, blade-color libraries, and pre-loaded effects on Xenopixel and Proffie boards may vary slightly between manufacturing batches. We update product listings as these change.
We reserve the right to correct any errors, inaccuracies, or omissions in product descriptions, pricing, promotions, or availability, including after an order has been placed but before it has shipped.

Prices are displayed in US dollars unless otherwise stated and do not include shipping, taxes, customs duties, or import fees, which are calculated separately based on your location and the option you select at checkout.

We reserve the right to refuse or cancel orders, limit quantities purchased by any one person or household, restrict shipments to certain jurisdictions, and discontinue products at any time.

Orders & Acceptance

The display of products on battlix.com is an invitation to make an offer, not an offer to sell. When you place an order, you are making an offer to purchase. We accept your offer when we send you a shipping confirmation email. Until that point, no binding contract exists between us, and we may decline your order for any reason permitted by law.

We may decline an order if:

A product is mispriced or out of stock;
We cannot verify the billing or shipping information;
We suspect fraud;
The destination is one we cannot legally ship to, for example countries with import restrictions on lithium-ion batteries;
For any other reason allowed by law.

If we decline an order after you have paid, we will refund the amount charged within a reasonable time.

Payment

You authorize us, or our payment processors, to charge your selected payment method for the total amount of your order, including shipping and any applicable taxes or fees. If your payment cannot be processed for any reason, your order will not be fulfilled until payment is successfully received.

Shipping, Returns & Refunds

Shipping, delivery, returns, exchanges, and refunds are governed by our separate Shipping & Delivery Policy and Returns & Exchange Policy, each of which is incorporated into these Terms by reference. In the event of any conflict between this Section and those policies, those policies control with respect to the matters they address.

Limited Product Warranty

Battlix warrants that, for one (1) year from the date of delivery, each Battlix saber will be free from defects in materials and workmanship under normal, intended use. This warranty covers:

Soundboard failures;
Battery failures, excluding normal capacity degradation over time;
Internal wiring and electronics defects;
Manufacturing defects in the hilt construction.

This warranty does not cover:

Damage caused by dueling, dropping, impact, water exposure, or other misuse;
Cosmetic wear, scratches, or scuffs from normal use;
Damage from modifications, repairs, or attempted repairs by anyone other than Battlix or an authorized agent;
Damage from unauthorized firmware modifications;
Polycarbonate blades, which are consumable and may crack or break under combat use;
Damage caused by third-party accessories not sold or approved by Battlix;
Products purchased from unauthorized resellers.

To make a warranty claim, email contact@battlix.com with your order number, a description of the issue, and photos or video showing the defect. We will assess the claim and, at our discretion, repair the product, replace it, or issue a refund. The customer is responsible for shipping the product to Battlix for warranty assessment. If the claim is approved, Battlix covers return shipping back to the customer.

This limited warranty is the only warranty Battlix provides. To the extent permitted by law, all other warranties, express or implied, are disclaimed.

Product Safety & Intended Use

Battlix sabers are designed as collector pieces, display items, and recreational props. While many of our hilts are engineered to withstand combat dueling, dueling carries inherent risk of injury, and you assume that risk by choosing to engage in it.

By purchasing or using a Battlix product, you acknowledge and agree to the safety terms below. Failure to follow them may result in serious injury, property damage, or legal consequences, none of which Battlix accepts responsibility for.

Battlix sabers are not toys. They contain electronics, lithium-ion batteries, and rigid metal hilts that can cause injury if misused.
Sabers must not be used against any person who has not affirmatively consented to dueling.
Protective gear, including eye protection, gloves, and padded clothing, is strongly recommended for any dueling activity.
Children should use Battlix products only under direct adult supervision.
Battlix sabers are not weapons and must not be carried, brandished, or used in any manner intended to threaten, intimidate, or harm another person.
Lithium-ion batteries require proper handling. Do not expose batteries to fire, extreme heat, water, or physical damage. Do not attempt to disassemble batteries or charging circuits. Charge only with cables and chargers supplied by Battlix or compatible USB-C sources rated within manufacturer specifications.
Local laws may restrict the possession, transport, or public display of saber-like items. You are responsible for understanding and complying with the laws of your jurisdiction.
You assume all risk associated with the use of Battlix products, including risk of injury during dueling, damage to property, and legal consequences from improper use.

Battlix is not liable for any injury, property damage, or legal consequence arising from your use of, modification of, or failure to follow safety guidelines for our products.

Intellectual Property

Battlix Intellectual Property

All content on battlix.com, including the Battlix name, logos, our original hilt designs, product photography, written descriptions, and the website itself, is owned by Battlix or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Battlix content without our prior written permission.

When you purchase a Battlix product, you receive ownership of that physical product. You do not receive any rights to reproduce, manufacture, or commercially sell copies of Battlix designs.

Third-Party Intellectual Property

Certain Battlix products are inspired by characters and themes from popular culture. Battlix is an independent company and is not affiliated with, endorsed by, or sponsored by Lucasfilm Ltd., The Walt Disney Company, or any other entertainment company. Star Wars and all related character names, marks, and indicia are the property of their respective owners.

References to character names, films, or franchises in Battlix product listings, descriptions, and marketing are nominative and used to identify the inspiration for a tribute design. They do not imply affiliation, sponsorship, or endorsement of Battlix by any third party. Battlix products are designed as tribute pieces and are sold for personal collection and recreational use only.

User Content

If you submit reviews, photos, videos, comments, or other content to battlix.com or our social media channels, referred to as "User Content," you grant Battlix a worldwide, royalty-free, perpetual, non-exclusive, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the User Content in connection with our business, including in marketing materials, on our website, and on social media.

You represent and warrant that:

You own or have all necessary rights to the User Content you submit;
The User Content does not violate the rights of any third party or any applicable law;
Reviews you submit are accurate and reflect your honest opinion;
You are not posting on behalf of a competitor or with intent to deceive other customers.

We reserve the right to remove, edit, or refuse User Content at our discretion, including content that is abusive, defamatory, off-topic, misleading, or otherwise inappropriate.

Prohibited Conduct

You agree not to:

Use the Services for any unlawful purpose or in violation of any applicable law;
Use any Battlix product as a weapon or in any manner intended to harm, threaten, or intimidate another person;
Resell Battlix products commercially without prior written authorization;
Reproduce, manufacture, or distribute counterfeit copies of Battlix products or designs;
Access the Services through automated means, including bots or scrapers, for any purpose other than legitimate search-engine indexing;
Attempt to gain unauthorized access to other accounts, our systems, or our payment infrastructure;
Submit false, fraudulent, or misleading information;
Interfere with the proper operation of the Services;
Use the Services to transmit malware, viruses, or other malicious code.

Disclaimers

To the maximum extent permitted by law, the Services and all Battlix products are provided "as is" and "as available," without warranties of any kind, express or implied, except as expressly set forth in Section 08, Limited Product Warranty.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any content on the Services is accurate, complete, or current. We do not warrant that Battlix products will meet any specific subjective expectation, or that any specific blade color, sound font, or visual effect will be perceived as represented on your particular device.

Limitation of Liability

To the maximum extent permitted by law, in no event will Battlix or its officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, or personal injury, arising out of or in connection with your use of the Services or any Battlix product.

Battlix's total cumulative liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (i) the amount you paid for the specific product giving rise to the claim, or (ii) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Battlix and its officers, employees, agents, and affiliates from any claim, loss, liability, expense, or damage, including reasonable attorneys' fees, arising out of or relating to:

Your use of the Services or any Battlix product;
Your violation of these Terms;
Your violation of any applicable law or any third-party right;
Any User Content you submit.

Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing any formal claim, you agree to first contact us at contact@battlix.com and attempt in good faith to resolve the dispute informally. If we cannot resolve the dispute within thirty (30) days, either party may proceed with formal legal action.

Any formal legal action arising out of or relating to these Terms or the Services must be brought in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.

Modifications

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and update the "Last Updated" date. For material changes, we will provide additional notice by email or through a prominent notice on the website before the changes take effect.

Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.

Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms, fraudulent activity, or any conduct we believe is harmful to Battlix or other users. Upon termination, your right to use the Services ends immediately.

Sections of these Terms that by their nature should survive termination, including the sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

Miscellaneous

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy, Shipping & Delivery Policy, and Returns & Exchange Policy, constitute the entire agreement between you and Battlix regarding the Services, and supersede any prior agreements.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to any affiliate or to a successor in a business transaction.

Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or any other.

No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Battlix.

Force Majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemic, war, civil unrest, government action, supply-chain disruption, or carrier failure.
